Terms of Service

TUFF MIDI ("TUFF MIDI", "we", "us") is a community platform where producers upload, share and download MIDI files. These Terms of Service (the "Terms") are a binding agreement between you and [LEGAL ENTITY NAME], the operator of TUFF MIDI.

They work together with our Privacy Policy, Copyright & DMCA Policy, Community Guidelines and Cookie Policy.

Important: this document is a thorough, plain-English starting point written for the current TUFF MIDI product. It is not legal advice. Every placeholder in square brackets must be filled in, and the whole document reviewed by a qualified lawyer in [JURISDICTION], before TUFF MIDI operates publicly. Consumer-protection, copyright and platform-liability rules differ significantly between countries, and some clauses below may be limited or unenforceable in yours.

1. Acceptance of these Terms

By creating an account, uploading a file, downloading a file, or otherwise using TUFF MIDI, you agree to these Terms. If you do not agree, do not use the platform.

We may update these Terms as the platform changes. Material changes will be announced on the site or by email to registered users where reasonable, and the "last updated" date at the top of this page always reflects the current version. Continuing to use TUFF MIDI after an update means you accept the updated Terms.

2. Eligibility and age

  • You must be at least 16 years old to create an account, or older if your country requires it. [CONFIRM MINIMUM AGE WITH COUNSEL — e.g. 13 in the US, 16 in parts of the EU.]
  • If you are under 18, you may only use TUFF MIDI with the consent and supervision of a parent or legal guardian.
  • You must have the legal capacity to enter into a binding contract.
  • You must not be barred from using the service under the laws of your country.

If we learn that an account belongs to someone below the minimum age, we may suspend or delete it.

3. User accounts

Browsing and downloading may be available without an account, but uploading, favouriting, following and commenting require registration.

  • Provide accurate registration details and keep them up to date.
  • You are responsible for everything that happens under your account.
  • Keep your password confidential; tell us immediately at [SUPPORT EMAIL] if you suspect unauthorised access.
  • One account per person. Do not share, sell, rent or transfer your account.
  • Do not impersonate another producer, artist, brand or TUFF MIDI staff.
  • You may delete your account at any time from your account settings or by contacting [SUPPORT EMAIL].

We may suspend or terminate accounts that breach these Terms, as described in section 13.

4. Uploading MIDI and other user content

"User Content" means everything you upload or post: MIDI files, titles, descriptions, tags, metadata, avatars, profile information and comments.

  • You keep ownership of your User Content. TUFF MIDI does not claim ownership of your MIDI.
  • You are solely responsible for what you upload and for making sure you have the rights to upload it.
  • You may only upload MIDI you created yourself or that you are otherwise legally entitled to distribute.
  • You must not upload MIDI derived from copyrighted recordings, compositions or commercial MIDI packs without permission.
  • Metadata must be accurate and not misleading.
  • We do not pre-screen uploads. Publication does not mean we have verified or approved your content.

We may remove, restrict, re-categorise or refuse any User Content at our reasonable discretion, in particular where it breaches these Terms, the Community Guidelines or applicable law.

5. Licence you grant to TUFF MIDI

To run the platform we need permission to handle your files. By uploading User Content you grant [LEGAL ENTITY NAME] a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, cache, reproduce, adapt (for technical purposes such as format conversion, waveform/piano-roll rendering and audio preview), publicly display, publicly perform, distribute and make available your User Content, solely for the purposes of:

  • operating, delivering and improving the platform, including via our storage and CDN providers;
  • generating previews, visualisations, thumbnails and search indexes;
  • making your uploads available for download by other users in line with section 7;
  • promoting TUFF MIDI and your uploads on the platform and on TUFF MIDI's own social channels.

This licence is limited to running and promoting the service. It does not transfer ownership, and it does not allow us to sell your MIDI as a standalone product.

The licence ends when you delete the content or your account, except that: (a) copies already downloaded by other users remain licensed to them under section 7; (b) we may keep backup or cached copies for a limited period until they are overwritten; and (c) we may retain records where law requires it.

6. Your warranties

Each time you upload, you confirm that:

  • you own the User Content or have all rights, licences and permissions necessary to upload and share it;
  • your User Content does not infringe any copyright, trademark, moral right, publicity right, privacy right or other right of any third party;
  • your User Content does not contain malware or anything intended to damage systems or data;
  • your User Content complies with these Terms, the Community Guidelines and applicable law;
  • granting the licence in section 5 does not breach any agreement you have with a label, publisher, collecting society or collaborator.

If you are signed to a label or publisher, check your agreement before uploading. You remain responsible for third-party claims arising from your uploads (see section 18).

7. Downloading and using MIDI from TUFF MIDI

Unless a file's page states otherwise, MIDI files downloaded from TUFF MIDI may be used as follows:

You may

  • use downloaded MIDI in your own musical productions, including commercial releases;
  • modify, arrange, edit and combine the MIDI with your own material;
  • use your own instruments and sounds to render the MIDI.

You may not

  • resell, redistribute or share the MIDI file itself, on its own or as part of a MIDI pack, sample pack, preset pack or template;
  • upload the MIDI to another platform and present it as your own;
  • claim authorship of the underlying MIDI composition;
  • register the unmodified MIDI, or a track consisting essentially of it, with a content-identification system in a way that blocks other users;
  • use the MIDI in a way that breaches the Uploader's stated conditions on the file page.
TUFF MIDI passes on the rights the Uploader claims to have. We cannot guarantee that any given upload is clear of third-party rights. If you release music commercially, you use downloaded MIDI at your own risk and remain responsible for clearing your own release. 9. Disputes over removals

If your content was removed and you believe that was a mistake, you can dispute it as described in the Copyright & DMCA Policy. We may forward your dispute, including your contact details, to the complainant. Restoring content is at our discretion and subject to applicable law; TUFF MIDI is not a court and does not decide who owns a work.

10. Moderation

We may review, remove, hide, de-index, restrict or edit metadata of any User Content, and restrict features of any account, where we reasonably believe it breaches these Terms, the Community Guidelines or the law, or harms other users or the platform.

  • Where reasonable we notify the affected user and give a reason.
  • Serious cases — illegal content, security threats, coordinated abuse — may be actioned immediately and without notice.
  • You can ask us to review a decision by writing to [SUPPORT EMAIL].
  • We are not obliged to monitor all content, and we do not guarantee that all violating content will be found or removed.

11. Prohibited content and behaviour

You must not use TUFF MIDI to:

  • upload stolen, pirated, cracked or otherwise infringing material;
  • upload malware, viruses or anything designed to compromise systems;
  • post hateful, harassing, threatening, defamatory, sexually explicit or otherwise illegal content;
  • post content sexualising minors — this is reported to the authorities without exception;
  • spam, flood the platform with junk uploads, or artificially inflate downloads, favourites or rankings;
  • scrape, crawl, bulk-download, mirror or resell platform content or data;
  • reverse engineer, probe, overload, disrupt or attempt to gain unauthorised access to the platform;
  • circumvent access controls, rate limits, download limits or moderation measures;
  • use bots or automated tools to create accounts or interact with the platform without our written permission;
  • impersonate any person, brand or TUFF MIDI staff, or misrepresent your affiliation.

12. Community interaction

Profiles, comments, favourites and follows exist so producers can support each other. Feedback should be about the music. Harassment, hate speech, doxxing, scams and unsolicited advertising are not allowed, and the Community Guidelines explain this in detail.

Content posted by other users is their responsibility, not ours. Opinions expressed in comments or profiles are not TUFF MIDI's opinions.

13. Content removal and account termination

You may delete individual uploads or your entire account at any time. Deleting content removes it from the platform, subject to backups, caches and copies previously downloaded by other users, which we cannot recall.

We may suspend or terminate your account, with or without notice depending on the seriousness of the issue, if you breach these Terms, if your account is the subject of repeated valid copyright complaints, if we are required to do so by law, or if your use poses a security or legal risk to the platform or other users.

Sections that by their nature should survive termination — including sections 5 (for already-distributed copies), 7, 16, 17, 18, 19, 20 and 23 — continue to apply.

14. Third-party links and advertising

TUFF MIDI is free to use and is supported by advertising. Ads and links to third-party sites, products or services are provided for convenience. We do not control, endorse or guarantee third-party content, and we are not responsible for your dealings with advertisers or linked sites. Third-party services have their own terms and privacy policies.

15. Platform availability

We aim to keep TUFF MIDI online and working, but we do not promise uninterrupted or error-free operation. The service may be unavailable due to maintenance, updates, technical issues or factors outside our control, including failures at our hosting, storage or CDN providers. We may change, suspend or discontinue features at any time.

16. Disclaimers

To the maximum extent permitted by law, TUFF MIDI is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability.

In particular we do not warrant that user uploads are free of third-party rights, that metadata such as BPM, key, genre or MIDI type is accurate, that audio previews accurately represent a file, or that files will be free of loss or corruption. Keep your own backups of your work.

Consumers have statutory rights that cannot be excluded. Nothing in this section limits rights you have under mandatory law in your country. [COUNSEL TO ADAPT FOR JURISDICTION.]

17. Limitation of liability

To the maximum extent permitted by law, [LEGAL ENTITY NAME] is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, data or content, arising out of or in connection with your use of TUFF MIDI.

Our total aggregate liability for all claims relating to the service is limited to the greater of (a) the total amount you paid us in the twelve months before the claim, or (b) [AMOUNT, e.g. EUR 100].

Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

18. Indemnification

You agree to indemnify and hold harmless [LEGAL ENTITY NAME], its owners, staff and contractors from any claims, damages, losses, liabilities and reasonable legal costs arising from your User Content, your use of the platform, your breach of these Terms, or your violation of any third-party rights or applicable law. This clause applies to the extent permitted by law and does not apply to claims caused by our own wrongdoing.

19. TUFF MIDI intellectual property

The TUFF MIDI name, logo, design, interface, code, copy and other platform materials belong to [LEGAL ENTITY NAME] or its licensors and are protected by intellectual property law. You may not copy, modify, distribute or create derivative works from them, or use our branding, without our prior written permission. Nothing in these Terms grants you a licence to our brand.

20. Platform and database protection

The compilation, structure, metadata and arrangement of content on TUFF MIDI — including the catalogue of MIDI files, tags, genres and search indexes — is our protected database and may be covered by database rights where those exist. You may not extract or reuse substantial parts of it, or systematically extract insubstantial parts, including by scraping, crawling or automated downloading, without our written permission.

21. Changes to the service and these Terms

We may add, change or remove features, introduce limits, or change how the platform works at any time. We may also update these Terms as described in section 1. If a change materially reduces your rights and you do not accept it, your remedy is to stop using TUFF MIDI and delete your account.

22. Privacy

How we handle personal data is described in our Privacy Policy, and our use of cookies in the Cookie Policy. By using TUFF MIDI you acknowledge those documents.

23. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION], without regard to conflict of law rules. The courts of [COURT LOCATION] have jurisdiction over disputes, except where mandatory consumer law gives you the right to bring proceedings in your country of residence.

24. Severability and waiver

If any provision of these Terms is found invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in force. Our failure to enforce a provision is not a waiver of our right to enforce it later.

25. Entire agreement

These Terms, together with the Privacy Policy, Copyright & DMCA Policy, Community Guidelines and Cookie Policy, form the entire agreement between you and [LEGAL ENTITY NAME] regarding TUFF MIDI, and replace any earlier agreements or understandings on the same subject.

26. Assignment

You may not transfer or assign your rights under these Terms without our written consent. We may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganisation or sale of assets, provided your rights are not materially reduced.
